Meet Rafael:

Rafael is a senior associate at AVL Abogados and is part of the Mining Law team and the Energy Law Department. He also has extensive experience in Competition Law.

In his practice, he has advised international mining companies in numerous processes related to the granting of mining concessions and permits for their development; international mining transactions (joint ventures, project finance, strategic investments), for which he has participated in various due diligence processes, as well as in the drafting and review of national and international contracts (opt-in and farm-in agreements; royalty and streaming structures; shareholder agreements). 

He has advised clients on the mining and environmental regulatory matters. He has also supervised real estate management, cadastral assessments, the negotiation of real property rights, and the formalization of surface rights for companies in the energy industry.

In his experience in competition law, Rafael has carried out preventive audits and compliance programs in the pharmaceutical, food and logistics industries. He has also advised various companies in these industries on administrative competition proceedings.

Experience

  • Advised Osisko Bermuda Ltd in the structuring of a stream transaction, together with a financial transaction, under which US$ 750 million financing was secured to SolGold for the Cascabel Copper-Gold project in Ecuador.

  • Advised Adventus Mining Corp. in negotiating and executing an earn-in agreement, which led to the development of the Curipamba – El Dome Copper Project.

  • Since 2011, advising Southern Copper Corporation in Ecuador on all legal aspects of the Ruta de Cobre project.

  • Advised First Quantum Minerals on its arrival in Ecuador, advising on all legal aspects and support in the negotiation of three joint venture agreements and two earn-in agreements.

  • Advised Cornerstone Capital Resources Inc. (now SolGold) on all legal aspects of its operations in three mining projects, including the sale of projects, the negotiation of earn-in, farm-in and joint venture agreements and its relationship with ENAMI EP.

  • Advised Shandong Gold on the potential acquisition of a gold project in Ecuador.

  • Advised Nemesia S.à.r.l. in the structuring of contracts and guarantees for a US $75 million credit facility for Lundin Gold’s Fruta del Norte Project.
